Privacy Policy

This Privacy Policy ("Policy") sets out how SunnyDay Ventures, LLC ("Company," "we," "us," or "our") collects, uses, and shares your personal information in connection with the ZipClips mobile application and website at getzipclips.com (collectively the "App"). Please read the following carefully to understand our practices regarding your personal information and how we will treat it. By accessing and using the App, you acknowledge you have read, understand, and agree to the terms of this Policy. If you do not agree, please do not continue to use the App.

What Types of Information Do We Collect?

"Personal Information" is any information that identifies, relates to, describes, or is reasonably capable of being associated with or could be linked directly or indirectly with a person. We collect Personal Information about our users so that we can better serve you. This includes your first and last name, email address, and phone number.

In addition, ZipClips collects the following types of user-generated content:
Photos and videos you capture or import and share within private Groups
Voice notes you record at the time of capturing a photo or video (up to 20 seconds in length)
Voice comments and text comments you leave on other members' photos and videos
Text captions and annotations you add to your photos and videos

We may also collect technical information about your device, such as device type, operating system, IP address, access times, location, time zone, and usage data relating to how you navigate and use the App.

How We Collect Your Information

We collect Personal Information in the following ways:

Information you provide when creating your account
Photos, videos, voice notes, and text content you submit through the App
Contacts you choose to invite to join your Groups (with your permission to access your contacts)
Information provided through our help and support system

We also automatically collect information about how you use the App to help us improve the experience for all users.

How We Store Your Content

Photos, videos, and voice notes you share within ZipClips are stored securely on our servers. Your content is accessible only to members of the specific Groups you have chosen to share it with. We do not make your content publicly available and do not share it with third parties except as described in this Policy.

Voice notes are stored as audio files and are associated with the specific photo or video to which they were recorded. They are only accessible to members of the Group the photo was shared with.

We do not use your photos, videos, voice recordings, or any personal content to train artificial intelligence or machine learning models. Your content is used solely to deliver the ZipClips service to you and your invited Group members.

Your Right to Delete Your Content

You own your content. You have the right to delete any photos, videos, voice notes, or comments you have uploaded or recorded at any time through the App. When you delete content:

It is immediately removed from your Group feed and no longer visible to other members
It is permanently deleted from our servers within 30 days
Associated voice notes, captions, and comments are deleted along with the photo or video

If you delete your account, all content you have uploaded, all voice notes you have recorded, and all comments you have made will be permanently deleted from our servers within 30 days of account deletion. We will provide you with the ability to download your content before deletion upon request.

Photos and Videos of Children

ZipClips is frequently used by families to share photos and videos of children with trusted family members and friends. We take the privacy and safety of children's images seriously. With respect to photos and videos of children shared through the App:

Content is only accessible to members of the specific Group it was shared with — never publicly
We do not use photos or videos of children for any purpose other than delivering the ZipClips service
We do not use images of children to train AI or machine learning models
We do not sell, share, or license images of children to any third party under any circumstances
Parents and guardians who are Group administrators can remove any content from their Group at any time

Voice Recording Consent and Storage

ZipClips allows you to record short voice notes (up to 20 seconds) to attach to photos and videos, and voice comments on other members' content. By using the voice recording features:

You consent to the recording and secure storage of your voice
You grant Group members the right to play back your voice recordings
Voice recordings are stored only for as long as the associated photo or video remains in the App
Deleting a photo or video also deletes its attached voice note
Deleting your account deletes all voice recordings you have made

We do not use your voice recordings for any purpose other than delivering them to the Group members you have chosen to share with.

SMS Opt-In

You may opt in to notifications and invitations from us by email, text (SMS), or both. If you choose text messages you will be asked upon signup to agree to receive text messages through an opt-in process. If you no longer want messages, you will be able to change this setting in the App or reply STOP to opt out, HELP for help. The information gathered during the SMS opt-in will not be shared or sold to third parties, especially for promotional purposes. If you choose to receive messages, message and data rates may apply.

Push Notifications

ZipClips may send push notifications to your device to alert you of new photos, comments, reactions, and Group invitations. You may control push notification preferences through your device settings or within the App at any time.

How We Use Your Information

We may use your Personal Information for the following purposes:

To provide you with the ZipClips app and its features
To respond to your requests for information and support
To allow you to participate in Groups and share content with invited members
To contact you by email, text, or push notification regarding your account and activity
To notify you about changes to our service
To use analytics to better understand how users access our App and improve the user experience
For app administration, fraud prevention, and legal compliance

ZipClips does not display advertisements. We do not use your personal information or content for advertising purposes and do not sell your data to advertisers.

How We May Disclose Your Personal Information

The Company will share your Personal Information only in compliance with applicable laws and regulations. We may share your information in the following limited ways:

With service providers who assist us in operating the App, such as cloud storage, push notification, SMS, and email delivery providers — these providers are bound by confidentiality obligations
In the event of a sale or transfer of business assets or a merger, subject to the same privacy commitments
When required by law, such as in response to a subpoena or court order
To protect the rights, property, or safety of our users or the public

We do not sell, rent, or lease your Personal Information or content to any third party.

Data Breach Notification

In the event of a security breach that affects your personal information or content, we will notify affected users within 72 hours of becoming aware of the breach, or as soon as reasonably practicable, and in accordance with applicable law. Notification will be provided via the email address associated with your account.

What Happens If ZipClips Shuts Down
In the unlikely event that ZipClips ceases operations, we commit to:

Providing at least 60 days advance notice to all users via email
Giving all users the ability to download their photos, videos, and content before the service closes
Permanently deleting all user content from our servers upon closure

Your memories belong to you. We will never allow your personal content to be transferred to a third party without your explicit consent.

Security

We use reasonable technical and organizational security measures to protect your Personal Information and content, including encryption of data in transit (HTTPS/TLS) and at rest. While we take commercially reasonable steps to protect your data, no method of transmission over the internet is completely secure. We cannot guarantee absolute security but will notify you promptly in the event of any breach affecting your information.

Transfer of Your Personal Data

The Company is located in the United States. Your information may be processed at our operating offices and in other places where our service providers are located. We take reasonably necessary steps to ensure that your Personal Information is treated securely and in accordance with this Policy regardless of where it is processed.

Collection and Use of Information from Children

ZipClips is not intended for use by children under the age of 13 as account holders. We do not knowingly collect Personal Information from children under 13. If we learn that a child under 13 has created an account, we will delete that account and all associated information as soon as possible.

Adults may upload photos and videos that include children as subjects. Such content is handled as described in the "Photos and Videos of Children" section above.

We do not sell, rent, or lease Personal Information of any user, including children.

Your Privacy Rights

You have the right to:

Access the Personal Information we hold about you
Request correction of inaccurate Personal Information
Request deletion of your Personal Information and content
Opt out of marketing communications at any time
Download your content before deleting your account

To exercise any of these rights, contact us at the address below. We will respond to your request within 30 days.

Data Retention

We retain your Personal Information and user-generated content for as long as your account is active or as needed to provide you with the App. If you delete your account, your content and Personal Information will be permanently deleted from our servers within 30 days, except where we are required to retain certain information for legal compliance, backup, or dispute resolution purposes.

Third Party Links

The App may contain links to third-party websites. We are not responsible for the privacy practices or content of those sites. Please review the privacy policies of any third-party sites you visit.

Do-Not-Track Signals

Our App does not respond to automated browser Do-Not-Track signals.

Business Transfer

In the event that all or part of our assets are sold or acquired by another party, or in the event of a merger, we retain the right to transfer your Personal Information to the successor business, subject to the same privacy commitments described in this Policy. We will notify users of any such transfer via email prior to it taking effect.

Changes to Our Privacy Policy

We reserve the right to change this Policy at any time. When we do, we will revise the Effective Date at the top of this Policy and notify users via email if the changes are material. We encourage you to periodically review this Policy.
